Agreement on the use of the “TeamViewer” software

The program "TeamViewer 9 QuickSupport" (hereinafter "TeamViewer") is a remote maintenance software of TeamViewer GmbH, Göppingen. It is a very compact customer module that requires no installation and no administration rights on the target computer.

Baker Tilly Unternehmensberatung GmbH (hereinafter "Baker Tilly") has not programmed TeamViewer itself and therefore has no insight into the program’s source code and no possibility to understand the program’s functionality in detail. Baker Tilly has only acquired licenses for "TeamViewer" and offers its use as a free service exclusively for Baker Tilly’s clients and employees and exclusively at their own request. Please note that this service is only available during business hours by telephone arrangement with your contact person at Baker Tilly and the support staff of Baker Tilly.

Baker Tilly only uses TeamViewer if you accept the following agreement:

  1. Your obligations

    You can follow all actions of the support employee on the screen. You can stop an unwanted action of the support employee at any time by a corresponding notice or, if necessary, by terminating the connection.

    If you should detect any errors or irregularities during the use of TeamViewer allowing any access by unauthorized persons, please notify Baker Tilly and your contact person immediately.

    You are responsible for ensuring that a current data backup of your system is available in a suitable form and that a timely and economically reasonable recovery of lost data is guaranteed. By agreeing to the use of TeamViewer, you therefore confirm that you have an up-to-date data backup on an external storage medium and waive any claims for data loss that could have been prevented by an external data backup.

  2. Data protection

    Baker Tilly undertakes to keep confidential any knowledge of business secrets and data protection measures gained within the scope of the use of TeamViewer and to not disclose them to any third party under any circumstances.

    Baker Tilly will record the TeamViewer session and store this recording for a reasonable period of time.

  3. Limitation of liability

    Neither Baker Tilly nor the Baker Tilly company engaged by you shall be liable for any malfunction or other security vulnerability of TeamViewer or for any loss of data or other disruptions or damage to your computer or network system, even if these are in temporal proximity to the use of TeamViewer. The same applies to the security of the transmission path (Internet) as well as to damages caused by your deviation from the conditions of use or the intended use of TeamViewer.

    Only damages caused as a result of gross negligence or intent by Baker Tilly, as well as damages resulting from injury to life, physical integrity or health by Baker Tilly shall be excluded from this exclusion of liability.

    Consequential damages from business interruption and loss of profit will not be compensated, unless they were caused intentionally.

  4. Choice of law and place of jurisdiction

    This agreement shall be governed by the laws of the Federal Republic of Germany to the exclusion of German international private law. 

    If you or the person represented by you should be a merchant pursuant to German Commercial Code (HGB), the place of jurisdiction shall be Düsseldorf. 

  5. Authorization

    You are authorized to accept the above terms and conditions with legal effect for your company/employer/person represented by you and to permit the use of TeamViewer on their IT systems

  6. Final provisions and severability clause

    In addition to the above provisions, the engagement-related General Terms of Engagement (GTE) shall apply in relation to the engaged Baker Tilly company.

    If any of the above provisions should prove to be invalid, the remaining provisions shall remain unaffected. In this case or in the event of an unintentional gap, the parties agree to retroactively agree upon a valid provision most closely approximating the invalid provision or the economic purpose if the gap had been known.

    By using the TeamViewer module, you accept/confirm the above terms and conditions. Your IP address as well as date and time will be saved.
