Baker Tilly advises Mey Group on acquisition of GMW Prämab GmbH & Co. KG

Munich, August 7, 2024 – The international consulting firm Baker Tilly has provided comprehensive legal advice to Mey Group GmbH on the acquisition of all assets and the ongoing business operations of the insolvent GMW Prämab GmbH & Co. KG in Burg. For Mey Group, the acquisition is an important strategic investment in the field of metal processing of large parts up to 100 tons and the takeover of 126 employees. The Stendal local court had opened insolvency proceedings over the assets of GMW Prämab GmbH & Co. KG by order of March 1, 2024 and appointed Dr. Schulte-Kaubrügger from the commercial law firm White & Case as insolvency administrator. He and his team continued operations without restriction until the successful conclusion of the transaction. The insolvency administrator was advised by BRL Boege Rohde Luebbehuesen during the extensive contract negotiations.

The advisory services of the Baker Tilly team, led by Frankfurt insolvency specialist and attorney-at-law Florian Bandrack, covered the areas of M&A, corporate law, insolvency law, labor law and real estate.

The Baker Tilly deal team headed by Munich corporate/M&A partner Stephan Zuber conducted the complex contract negotiations with the insolvency administrator. At the same time, Dr. Hendrik Theismann from the Frankfurt Real Estate practice group was responsible for the new long-term commercial lease agreement for the business property in Burg near Magdeburg.
