Baker Tilly advises KORIAN on implementation of a Supervisory Board

Baker Tilly Team advises KORIAN Deutschland GmbH on corporate law and collective labor law in the first-time implementation of a co-determined supervisory board.

 For the formation of a co-determined Supervisory Board, KORIAN Deutschland GmbH’s (“KORIAN”) management relied on Baker Tilly for corporate and collective labor law issues. The Supervisory Board to be formed in accordance with the German Co-Determination Act was established for the first time following a status procedure initiated by the management in 2023 with the conclusion of the elections on the employee side in accordance with the 3rd election regulations of the German Co-Determination Act and the election on the shareholder side in March 2024.
 
Headed by Attorney-at-Law/Tax Advisor Oliver Hubertus, Managing Partner Tax, the Baker Tilly team led by Attorney-at-Law/Tax Advisor Benedikt Hoffmann (both corporate and tax law), Attorney-at-Law Kerstin Weckert and Attorney-at-Law Marco Stahn ​​​​​​​(both labor law) provided comprehensive support in the implementation of the status procedure and in drafting the necessary amendments to the articles of association and the remuneration system for the 20-member board. KORIAN drew on the expertise of Dr. Harald Fuchs (Rüsselsheim) to advise and support the main election committee on the employee side throughout the entire election process. In-house, Dr. Hasina Farouq, Head of Legal, and Mr. Jonathan Hohlfeld as well as the HR project team comprising Adrienne Giehl-Spaniol, Anna-Maria Steinhauser and Miriam Pusler supported the process at KORIAN.
