Baker Tilly advises Köttermann Group on acquisition of shares in Lab Concept GmbH
With comprehensive legal and tax transaction advice, Baker Tilly supports Köttermann Group, which is held by the international private equity company BHM Group, on the strategic expansion of its portfolio in the sector of laboratory technology by acquiring shares in Lab Concept GmbH, a provider of infrastructure solutions for laboratories.
Advice on the transaction comprised a legal and tax due diligence as well as comprehensive consulting services in connection with the transaction’s structuring, the drafting and negotiation of the purchase agreement, the shareholder agreement and the other transaction agreements. Closing took place on June 29, 2023; the parties agreed to keep the purchase price confidential. Lab-Concept GmbH’s founder and managing director is going to retain his previous function and continues to hold an interest in the company. Together, the partners now wish to accelerate the company’s growth. “We are glad that we were able to successfully support the second transaction for BHM Group in 2023 with this project,” says partner Uwe Roth.
