Baker Tilly advises Mey Industry on acquisition of Toposens GmbH’s business operations
Baker Tilly has provided comprehensive legal advice to Mey Industry GmbH on the acquisition of the insolvent Toposens GmbH’s business operations from insolvency administrator Strüwind.
Toposens, a Munich-based start-up with 24 employees, has developed the world’s first 3D ultrasonic sensor but had to file for insolvency shortly before market-readiness. On November 22, 2022, the Munich Local Court appointed Attorney-at-Law Stefan Strüwind of Bendel Insolvenzverwaltung AG as provisional insolvency administrator. He and his team were able to stabilize the business after the insolvency application and retain all key personnel in the company. In the global search for an investor, he was supported by Hubertus Eing of Pulsar Consulting Group GmbH.
Mey Industry GmbH then won the contract for the acquisition as it was able to make all the necessary preparations for the company acquisition within a very short time. Mey Industry GmbH, the holding company of WEBASTO main shareholder Gerhard Mey, unites under its umbrella various companies from the mechanical engineering sector such as Maschinenbau Leicht GmbH or Mey Maschinenbau Prien GmbH & Co. KG.
“With this deal, we have bought a piece of the future,” says Gerhard Mey. “The entire Mey group of companies is focusing on Industry 4.0, for which the Toposens products are an ideal fit as the upcoming basic technology for many applications.”
The Baker Tilly team led by Director Florian Bandrack, Attorney-at-Law (Insolvency Law/Labor Law), together with Partner Daniel Laws, Attorney-at-Law, and Director Manfred Baumbach, Attorney-at-Law (both Corporate), Partner Christian Engelhardt (IP) and Director Marco Stahn, Attorney-at-Law, (Labor Law) advised on the deal.
