Baker Tilly has advised the European coating group KANSAI HELIOS on the acquisition of all assets of Westdeutsche Farben GmbH (wefa) on tax, legal and business matters.
Henceforth, wefa now also belongs to KANSAI PAINT, a worldwide leading coating manufacturer based in Osaka / Japan.
Overall, Baker Tilly has supported the acquisition process with a team of twelve professionals by conducting a business, legal and tax due diligence. Further the team has also assisted the transaction structuring and monitoring process of the acquisition from a tax and legal perspective. The team was led by our Lawyer/Partner Bernhard Rehbein (legal corporate/M&A); further team members who have played a decisive role were German CPA/Certified Tax Advisor/Partner Patrick Helsper, German SPA/Certified Tax Advisor/Senior Manager Jonas Hagen, Senior Orhan Erkol (all financial due diligence), Certified Tax Advisor/Partner Christian Wegener, Lawyer/Certified Tax Advisor/Manager Dr. Christiane Krüger, LL.M. (both tax), Lawyer/Senior Manager Bernd Conrad, Lawyer/Manager Carolina Miedeck (both legal corporate/M&A), Lawyer/Partner Dr. Jörg Buschbaum, Lawyer/Director Marco Stahn (both labour law) as well as Lawyer/Partner Dr. Christian Engelhardt (IP) and Lawyer/Partner Dr. Stefan Meßmer (merger control/supervisory law).
After the acquisition, the newly founded Company operates under the name KANSAI HELISO Wefa and expands the portfolio of KANSAI PAINT in Europe through its expertise in water-based coatings.
