Baker Tilly has successfully provided business and legal advice to Deufol Group as Debt Advisor and Legal Advisor on the refinancing of the existing syndicated loan through a restructured and increased syndicated loan.
Baker Tilly Engagement Partners Markus Paffenholz and Bernhard Gemmel advised Deufol Group together with Director Jan-Philipp Bülow and Consultant Markus Clemens (all Debt Advisory) as well as Director Ceren Uzun, Director Sebastian Wolff and Manager Sebastian Scholze (all Legal) on the transaction’s business and legal issues.
Together with Deufol Group, the Baker Tilly Debt Advisory team first developed the necessary documents and a suitable debt financing structure, including a long-term sheet, in order to approach existing and new financing partners. After coordinating the banking group with Deufol Group, the new syndicated loan agreement’s structural conditions (including 5-year term, unsecured and entrepreneurial freedom) were significantly improved through targeted approaches to potential financing partners as part of a competitive financing process. Furthermore, the financing volume was increased from EUR 42 million to EUR 55 million. The Baker Tilly Legal team, together with Deufol, also successfully conducted the syndicated loan agreement negotiations with the four syndicate banks and their external lawyers on the basis of the negotiated term sheet, including the fulfillment of the disbursement requirements. This also included the coordination of local foreign lawyers. In addition, the Legal team prepared the necessary corporate documents for Deufol Group.
As a core element, the new syndicated loan contributes to the optimization and simplification of the financing structure and ensures sufficient headroom, thus supporting Deufol Group’s further growth.
