SEMIKRON-Danfoss: Baker Tilly advises SEMIKRON on joint venture with Danfoss Silicon Power

With its expertise in tax and business consulting, Baker Tilly assisted SEMIKRON International GmbH and its shareholders in their joint venture with Danfoss Silicon Power.

The focus of the advisory services for the manufacturer of components in power electronics was due diligence in the areas of tax, finance, HR and IT, as well as tax structuring and drafting the purchase agreement for the deal. The deal’s closing is expected in the second half of 2022, following approval by regulatory authorities in various countries.

The joint venture is one of the largest deals in Baker Tilly's recent history and is a flagship project for the teams around the two Baker Tilly partners Uwe Roth, Tax Advisor (development of transaction structure, tax DD, tax structure, purchase agreement drafting) and Nils Klamar, CFA (financial DD, HR and IT DD, drafting of purchase agreement), who were in charge of the engagement.

Managing Partner Oliver Hubertus, Attorney-at-Law/Tax Advisor, Partner Michael Emig, Tax Advisor, as well as Managing Partner Christoph Beigel, Attorney-at-Law/Tax Advisor, were also involved for all tax-related issues. Klamar’s team was completed by Partners Jacob Keyl, Martin Uebelmann, CISA/CIA , Senior Managers Dennis Labbari, CFA, and Stefan Neubauer as well as Managers Nina Senninger, Attorney-at-Law, and David Aberle, and Junior Manager Matus Bonko.

After the merger, the new company will operate under the name SEMIKRON-Danfoss.
